These Terms of Service ("Terms") govern your access to and use of the VinHardLink platform (vinhardlink.com), operated by VinHardLink ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
VinHardLink is a B2B platform that connects buyers with hardware suppliers in Vietnam. We provide supplier directory listings, search and discovery tools, business profile pages, inquiry/RFQ forwarding, and optional paid subscription tiers (Standard, Pro, Enterprise) that grant suppliers enhanced visibility and features.
You must be at least 18 years old and capable of entering into a binding contract. If you use the Service on behalf of a company, you represent that you have authority to bind that company. We may refuse service to any person or business at our sole discretion.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@vinhardlink.com if you suspect unauthorized access. We are not liable for any loss resulting from your failure to safeguard credentials.
Paid plans are billed monthly in Vietnamese Dong (VND) through our payment processor Paddle (paddle.com). By subscribing, you authorize Paddle to charge your payment method on a recurring basis until you cancel. Subscription fees: Standard 500,000 VND/month, Pro 1,500,000 VND/month, Enterprise 3,000,000 VND/month. Prices may change with 30 days' prior notice; existing billing cycles are honored at the original price.
All payments are processed by Paddle.com, Inc., which acts as the merchant of record. Paddle handles tax collection, currency conversion, fraud prevention, and chargeback management. Your payment data is collected and stored by Paddle, not by us. Paddle's terms and privacy policy apply to the payment transaction.
You may cancel your subscription at any time through your account settings or the Paddle customer portal. Cancellation takes effect at the end of the current billing period. Refunds are governed by our separate Refund Policy. We do not pro-rate refunds for partial billing periods.
You agree not to: post false, misleading, or fraudulent supplier information; impersonate another business; scrape, harvest, or systematically extract data without permission; submit fake inquiries or spam; upload malicious code or interfere with the Service's operation; circumvent rate limits or access controls; use the Service for any unlawful purpose.
Suppliers may submit business profiles, product listings, photos, and other content. You retain ownership of content you submit but grant VinHardLink a worldwide, royalty-free license to display, distribute, translate, and promote that content within the Service and in marketing materials. You represent that you have all necessary rights to the content you submit and that it does not infringe any third-party rights.
When buyers submit inquiries, we forward the inquiry content (including buyer name, email, and message) to the relevant supplier. Suppliers are responsible for handling inquiries and any subsequent business relationship directly with the buyer. VinHardLink is not a party to any transaction between buyers and suppliers and does not guarantee the quality, safety, legality, or accuracy of supplier offerings.
The Service, including its software, design, branding, and aggregated data, is owned by VinHardLink and protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works without our written permission, except for content you yourself submitted.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not warrant that the Service will be uninterrupted, error-free, or secure. We make no representations about supplier reliability, product quality, pricing accuracy, or transaction outcomes.
To the maximum extent permitted by law, VinHardLink, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total aggregate liability shall not exceed the amount you paid us in the 12 months preceding the claim, or 1,000,000 VND, whichever is greater.
You agree to indemnify and hold harmless VinHardLink from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your violation of these Terms, your content, or your use of the Service.
We may suspend or terminate your account at any time for violation of these Terms, fraud, or any reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, governing law) will survive.
These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved in the courts of Ho Chi Minh City, Vietnam, or by binding arbitration if both parties agree.
We may update these Terms from time to time. Material changes will be notified via email or a banner on the Service at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
